Terms of Service
1. Acceptance of Terms
By accessing or using Modelyx ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all users, including subscribers and visitors.
2. Description of Service
Modelyx is a capital allocation and investment decision intelligence platform. The Service provides financial modeling, scenario analysis, stress testing, and decision support tools for professional use.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
4. Subscription & Billing
Paid features require a subscription. Billing is handled through a third-party payment processor and is denominated in U.S. dollars (USD). By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. You may cancel at any time from your account page; cancellation takes effect at the end of the current billing period. Refunds, where applicable, are governed by our Refund Policy. Prices are subject to change with 30 days' notice.
5. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract source code from the platform
- Use the Service for any unlawful purpose or in violation of applicable regulations
- Share account credentials or allow unauthorized access to your account
- Attempt to interfere with or disrupt the Service's infrastructure
- Scrape, harvest, or systematically extract data from the platform
6. Intellectual Property
All content, algorithms, models, and design elements of Modelyx are the intellectual property of Modelyx and its licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
6A. User Content and Data
You retain all ownership of any data, models, or content you upload to the Service ("User Content"). By using the Service, you grant Modelyx a limited, non-exclusive license to process User Content solely for the purpose of providing the Service to you. Modelyx will not use User Content to train AI models, sell it to third parties, or share it with anyone outside your account. You are responsible for ensuring you have the right to upload any User Content.
7. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. Modelyx does not guarantee the accuracy, completeness, or reliability of any financial analysis, projection, or recommendation generated by the platform. The Service is a decision-support tool and does not constitute financial, investment, or legal advice.
8. Limitation of Liability
To the maximum extent permitted by law, Modelyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. In any case, Modelyx's total cumulative liability under these Terms shall not exceed the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.
9. Termination
You may cancel your subscription at any time through the platform. Upon cancellation, your access continues until the end of your current paid billing period, at which point your right to access paid features of the Service ceases. We may suspend or terminate your access immediately if you materially violate these Terms. We will retain your User Content for thirty (30) days following termination so you may export it, after which it will be permanently deleted from our active systems. Backups may be retained for a reasonable period in accordance with our data retention practices.
10. Governing Law
These Terms shall be governed by the laws of Singapore, without regard to its conflict-of-laws principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform. Continued use of the Service after changes constitutes acceptance of the revised Terms.
